Standard Terms and Conditions for Translation Services
Use of this website and the services offered are governed by the following terms and conditions and any operating rules or policies that may be published by Expert Thai Translation Service (“We”).
The following terms and conditions constitute the entire agreement between the parties and supersede all prior agreements, understandings and negotiations on the subject matter.
Definition
‘The Client’ means the individual or the company, commissioning our services.
‘The Translator’ means the individual providing a translation or an interpretation service as per our instruction.
‘Translation’ means a translation or any revising, editing or proofreading.
‘Services’ includes translation, interpretation, proofreading, editing, typesetting, transcribing and all other related services.
Description of Service
Under the following terms and conditions, we provide translation from various languages into other languages and vice versa. This may involve documents in electronic and paper form and documents accessible via the Internet. We also provide text editing, interpreting and editing for publication. We make no guarantee of the availability of our services and will not be held responsible for data loss or interruption of service of any kind.
Copyright in Source Material, and Translation Rights
‘Expert Thai’ Translation Service accepts orders from Clients on the understanding that performance of the translation task will not infringe any third party rights. The Client undertakes to keep us and/or The Translator free from any claim for infringement of copyright and/or other intellectual property rights in all cases. The Client likewise undertakes to keep us and/or The Translator free from any legal action, including but not limited to defamation, which may arise as a result of the content of the original source material, or its translation.
Invoicing
For individual clients, 100% of the fee must be prepaid where the project value is below $1000.
For corporate clients, 50% advance is required for the first purchase order. For subsequent orders, payment terms will be set at 30 days from the date of the invoice.
The Client is responsible for all costs incurred by us in securing bad debts, including collection agency costs, court costs and attorney fees. We reserve the right to withhold services to customers with unsettled accounts.
Prices, Specifications, & Quotation
Prices and specifications are subject to change without notice. We reserve the right to withdraw any quotation at any time for any reason.
Accuracy of information
Whilst we make every effort to fulfill instructions to the very best of our ability, we make no warranty or representation regarding the quality, accuracy, merchantability or fitness for purpose of the services we provide on our website. We reserve the right to make changes to material that appears on our website, or these Terms of Conditions, without notice.
Confidentiality
All client documents are treated as confidential and our staff have signed a confidentiality agreement. However, we may consult a third party over specific translation terminology queries, provided that there is no disclosure of confidential material.
Cancellation
If a translation task is commissioned and subsequently cancelled, reduced in scope, or frustrated by an act or omission on the part of the Client or any third party, the Client shall pay the full contract sum unless otherwise agreed in advance.
Disclaimer of Warranties
The Client expressly agrees that use of the service is at the Client’s sole risk. We expressly disclaim all warranties of any kind, whether expressed or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement. We make no warranty that the service will meet your requirements, or that the service will be uninterrupted, timely, secure, or error free; nor do we make any warranty as to the results that may be obtained from the use of the service or as to the accuracy or reliability of any information obtained through the service. No advice or information, whether oral or written, obtained by the Client from us or through the service shall create any warranty not expressly made herein.
Indemnification
The Client agrees to indemnify and hold us, our agents, officers and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of the Client’s use of the service, the violation of the Terms of Service by the Client, or the infringement by the Client, of any intellectual property or other right of any person or entity.
Delivery of Translation
Any discrepancies must be communicated within 7 days upon receipt of the translation, otherwise it is considered that there are no discrepancies. Discrepancies must be submitted in a manner that accurately demonstrates the nature of the complaint. There is no extra charge for amendment to the discrepancies of translation within 7 days from delivery or before the Client confirms/approves the translation, whichever is earlier.
Once the Client has confirmed/approved the Translation, we will issue a final version/certified translation (if certification is required). Should the client request for amendment to the translation after this, the amendment can be made at additional charge equal to 50% of the first set.
For certified translation, only one set will be issued. Request for issuance of a subsequent set will incur additional charge equal to 50% of the first set.
All translation should be used within one month from the date of issuance. We give no guarantee whether any authority will accept the translation beyond this period.
Liability
Unless specified otherwise, the Translation shall be deemed to be required to be of “for information” quality only. Our liability on any grounds whatsoever shall be limited to the invoiced value of the work. We express no views as to the truth or falsity of any statement made in this translation and do not guarantee the authenticity of the document from which this translation was made. We and our servants, agents and contractors shall not be liable for any damage, loss or injury arising or resulting directly or indirectly from any person’s use of or reliance on this translation whether or not such use or reliance results from information or advice given whether negligently or otherwise.
Privacy Notice
This privacy notice applies to you if you are a visitor to our site.
We collect information about you that we need in order to process your project. This includes your name, postal address, email address, and telephone number. In case of refund to you, we will collect details of your bank account. Where we find that there are discrepancies in the information you have provided, or with the documents you sent to us for translation, we may request your passport or ID, so that we can confirm the information to be processed. We collect this information as you provide information to us in requesting our services, whether by email, SMS, telephone, or chat program (LINE or Messenger).
We process your personal data for the following reasons: to provide you with the service you have requested; to facilitate our legal and regulatory compliance, including for tax audit and also to allow us to enforce and defend our legal rights. We may be unable to provide services to you if you choose not to provide us with your personal data. We may share your personal data with government bodies and regulatory authorities to answer their queries about you. We may also share personal data with our legal and professional advisors. Where legal proceedings come before the courts relating to the translation we have completed for you, we may also need to share your personal data with the court and parties thereto. However, wherever possible, we will obtain your consent prior to disclosure.
We will hold your personal data for as long as necessary. We retain your personal data for a minimum period of 5 years in order to meet our tax audit requirements. The retention period may be longer if we need to deal with legal issues and the period will extend until those legal issues are resolved. If you request that we delete your files and translations from our system, we will no longer be able to re-issue translations or answer third party enquiries about you. You have a number of rights in relation to your personal data. These include the right, subject to exceptions, to access your personal data; request the rectification or erasure of your personal data; request restrictions on the processing of your personal data; and object to our processing of your personal data.
